Dividenžu jēdziena izpratne un dividenžu izmaksas kārtības tiesiskais regulējums Latvijā un ārvalstīs, kā arī saistītie problēmjautājumi

Abstract

Darba tēma ir “Dividenžu jēdziena izpratne un dividenžu izmaksas kārtības tiesiskais regulējums Latvijā un ārvalstīs, kā arī saistītie problēmjautājumi”. Izvēlētās bakalaura darba tēmas aktualitāte ir saistīta ar to, ka ir prognozēts, ka 2024. gadā Eiropā dividenžu izmaksas pieaugs par 6,5%, sasniedzot 433 miljardus eiro. Šis pieaugums atspoguļo turpinātu tendenci, kas raksturojusi iepriekšējos gadus. Latvijas izmaksājamas dividenžu summas arī ir palielinājušās. Šo tēmu pēta, gan Latvijas, gan ārvalstu tiesību zinātnieki, jo ir skaidrs, ka tiesiskais regulējums ir būtisks, lai nodrošinātu dividenžu izmaksu pareizu sadali un atbilstību akcionāru tiesībām. Tomēr juridiskās problēmas būtība ir tāda, ka Latvijas tiesiskajā regulējumā joprojām pastāv nepilnības. Piemēram, Komerclikumā iekļautais jēdziens "dividenžu aprēķināšana" tiek lietots nepareizi. Turklāt likumdevējs nav precizējis, kādi noteikumi jāievēro, lai būtu pieejami izņēmumi no proporcionalitātes principa attiecībā uz dividendu aprēķināšanu un izmaksu. Tas nozīmē, ka kapitālsabiedrības dalībnieki var paši izstrādāt dividenžu aprēķināšanas algoritmus, kas potenciāli varētu būt izmantoti tiesību ļaunprātīgai izmantošanai. Darba mērķis ir analizējot dividenžu jēdzienu un būtību, kā arī galvenos normatīvos tiesību aktus, kas regulē dividenžu sadalījumu un izmaksas kārtību, identificēt esošās nepilnības un sagatavot priekšlikumus tiesiskā regulējuma uzlabošanai, lai novērstu šīs nepilnības. Lai sasniegtu šo mērķi, darba autore izvirzīja uzdevumus: aplūkot dividenžu jēdziena vispārīgo raksturojumu, tostarp dividenžu jēdzienu, būtību un rašanās vēsturi; noskaidrot svarīgākos normatīvos tiesību aktus Latvijā un citās Eiropas Savienības dalībvalstīs, kas regulē dividenžu sadali un izmaksas kārtību; izpētīt problēmjautājumus dividenžu izmaksas kārtības tiesiskajā regulējumā un noskaidrot risinājumus ārvalstu tiesiskajā regulējumā. Darba apjoms ir 71 lapas. Darba struktūra: saturs, ievads, trīs nodaļas, astoņas apakšnodaļas un nobeigums. Nobeigumā tiek apkopotas visas darba rakstīšana gaitā iegūtās atziņas, izdarīti secinājumi un piedāvāti priekšlikumi, tas ir, ierosināti virzieni tiesiskā regulējuma uzlabošanai dividenžu izmaksas kārtības jomā, aprakstot iespējamus grozījumus Komerclikumā. Bibliogrāfijas saraksts sastāv no 50 avotiem, kurus darba autore izmantojusi bakalaura darba rakstīšanas laikā. Darba rakstīšanas laikā tika izmantoti gan Latvijas Republikas normatīvie tiesību akti, gan ārvalstu normatīvie tiesību akti, gan Latvijas un starptautiskie statistikas dati, juristu pētījumi un juridiskā literatūra.

The topic of the work is “Understanding the concept of dividends and the legal regulation of dividend payment procedures in Latvia and abroad, as well as related issues”. The topicality of the chosen subject of the bachelor's thesis is related to the fact that it is predicted that in 2024 the cost of dividends in Europe will increase by 6.5%, reaching 433 billion euros. This increase reflects a continued trend that has characterized previous years. This topic is studied by both Latvian and foreign legal scholars, as it is clear that legal regulation is essential to ensure the correct distribution of dividend payments and compliance with shareholders' rights. The essence of the legal problem is that there are still gaps in Latvia's legal framework. For example, the term "calculation of dividends" included in the Commercial Law is used incorrectly. In addition, the legislator has not specified what rules must be followed in order to have available exceptions from the principle of proportionality regarding the calculation and payment of dividends. This means that the members of the capital company can develop their own algorithms for calculating dividends, which could potentially be used for abuse of rights. The aim of the work is to analyze the concept and essence of dividends, as well as the main legal acts that regulate the distribution and payment of dividends, to identify existing gaps and to prepare proposals for improving the legal framework in order to eliminate these gaps. In order to achieve this goal, the author of the work set the following tasks: to examine the general characteristics of the concept of dividends, including the concept, nature and history of the emergence of dividends; to find out the most important legal acts in Latvia and other European Union member states, which regulate the distribution and payment procedure of dividends; to study the problematic issues in the legal framework of the dividend payment procedure and to clarify the solutions in the foreign legal framework. The volume of the work is 71 pages. Structure of the work: content, introduction, three chapters, eight subsections and conclusion. In the end, all the insights obtained during the writing of the work are collected, conclusions are drawn and proposals are offered, that is, directions for improving the legal regulation in the field of dividend payment procedures are proposed, describing possible amendments to the Commercial Law. The bibliography list consists of 50 sources. During the writing of the paper, both the normative legal acts of the Republic of Latvia and foreign normative legal acts, as well as Latvian and international statistical data, legal studies and legal literature were used.
