Publiskas personas līdzdalības komercsabiedrībās tiesiskais pamatojums

Abstract

Maģistra darba tēmas “Publiskas personas līdzdalības komercsabiedrībās tiesiskais pamatojums” mērķis ir izpētīt publiskas personas līdzdalības komercsabiedrībās tiesisko pamatojumu un ietekmi uz konkurenci. Tēmas aktualitāte ir saistīta ar nepieciešamību regulēt publisko personu saimniecisko darbību atbilstoši 2020.gada 1.janvāra grozījumiem konkurences noteikumos, un tādējādi ievērojot pārējo tirgus dalībnieku tiesības īstenot uzņēmējdarbību un konkurēt ar publikas personas komercsabiedrībām. Darbā tiek analizēts spēkā esošais normatīvais regulējums attiecībā uz publiskas personas komercsabiedrību un to meitas sabiedrību pārvaldības jautājumiem, vērtēti publiskas personas līdzdalības nosacījumi un līdzdalības ietekme uz konkurenci tirgū. Pētījuma rezultātā secināts, ka publiskas personas līdzdalība komercsabiedrībās un šo komercsabiedrību līdzdalība citās sabiedrībās ne vienmēr ir pamatota, lietderīga un atbilst spēkā esošajam tiesiskajam regulējumam. Iepriekš veikto reformu laikā Ministru kabinetam tika norādīts uz nepieciešamību atsevišķas līdzdalības pārtraukt, bet citas komercsabiedrības reorganizēt par valsts iestādēm. Liela daļa no ieteikumiem netika ņemti vērā un pēdējos gados ir rezultējušies ar finansiāliem zaudējumiem. Arī šobrīd tiek īstenotas līdzdalības, kas neatbilst spēkā esošajam normatīvajam regulējumam un negatīvi ietekmē konkurenci tirgū.

Master's thesis “Legal regulation of public persons participation in commercial companies” studies the legal basis for participation of a public person in commercial companies and their impact on fair competition. The topicality of the theme is due to the need to regulate the economic activity of public persons in accordance with the amendments to the competition rules of 1 January 2020, by respecting the right of market participants to offer goods and services and fair competition with commercial companies of the public person. The work analyses the current regulatory framework in relation to the issues of management of commercial companies of a public person and their subsidiaries, assesses the conditions of participation of a public person and the impact of such participation on fair competition in the market. As a result of the study, it is concluded that the participation of a public persons in commercial companies and participation of such companies in other commercial companies is not always justified, useful or complies with the current legal framework. During the previous reforms, the Cabinet of Ministers noted the need to discontinue certain participation of public persons in commercial companies and to reorganize other commercial companies into state institutions. Much of the recommendations have not been taken into account and have resulted in financial losses in recent years. Participations of a public persons in commercial companies are being continued, despite some of them not being compliant with the current regulatory framework. This practice continues to have a negative impact on fair competition in the market.
